Terms of Service

1. Agreement to Terms

By accessing or using the services provided by LitmonCloud ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms apply to all visitors, users, and clients who access or use our services, including our website, consulting services, and any related services we provide.

2. Services

LitmonCloud provides technology consulting and related services, including but not limited to:

  • Website design and development
  • Cloud consulting and implementation
  • IT support and technical assistance
  • Business automation solutions
  • Cybersecurity consulting

The specific scope, deliverables, timeline, and fees for any project will be outlined in a separate Statement of Work (SOW) or service agreement between you and LitmonCloud.

3. Payment Terms

Pricing and Fees

All fees for services will be outlined in the applicable Statement of Work or service agreement. Unless otherwise specified, all fees are quoted in U.S. dollars.

Payment Schedule

Unless otherwise agreed upon in writing:

  • A deposit of 50% of the project total is due before work begins
  • The remaining balance is due upon project completion, before final deliverables are released
  • For ongoing services, invoices are issued monthly and due within 15 days

Late Payments

Invoices not paid within 15 days of the due date may be subject to a late fee of 1.5% per month. We reserve the right to suspend services if payment is not received within 30 days of the due date.

4. Intellectual Property

Client Ownership

Upon full payment, you will own all custom code, designs, and content created specifically for your project ("Client Materials"), excluding any pre-existing materials or third-party components.

Company Ownership

LitmonCloud retains ownership of all pre-existing code, templates, frameworks, tools, methodologies, and know-how used in providing services ("Company Materials"). We grant you a non-exclusive, perpetual license to use any Company Materials incorporated into your deliverables.

Third-Party Materials

Your project may include third-party software, libraries, or services subject to their own license terms. You agree to comply with all applicable third-party license terms.

Portfolio Rights

Unless otherwise agreed in writing, LitmonCloud reserves the right to display completed work in our portfolio and marketing materials, including project screenshots and general descriptions.

5. Client Responsibilities

You agree to:

  • Provide accurate and complete information necessary for us to perform our services
  • Respond to requests for feedback, approvals, and information in a timely manner
  • Ensure you have the rights to any materials you provide to us
  • Make payments according to the agreed payment schedule
  • Comply with all applicable laws and regulations in your use of our services
  • Maintain confidentiality of any login credentials we provide

Delays caused by failure to fulfill these responsibilities may result in timeline extensions and additional fees.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LITMONCLOUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply even if we have been advised of the possibility of such damages and regardless of the form of action.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that our services will be uninterrupted, error-free, or that any defects will be corrected.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of our engagement. This includes business strategies, technical information, customer data, and any other information marked as confidential.

Confidentiality obligations do not apply to information that:

  • Is publicly available through no fault of the receiving party
  • Was known to the receiving party before disclosure
  • Is disclosed with written consent of the disclosing party
  • Is required to be disclosed by law

9. Termination

Either party may terminate the engagement as outlined in the applicable Statement of Work or service agreement. In the absence of specific termination provisions:

  • Either party may terminate with 30 days' written notice
  • We may terminate immediately if you breach these Terms or fail to pay invoices within 30 days
  • Upon termination, you are responsible for payment of all services rendered and expenses incurred through the termination date

10. Indemnification

You agree to indemnify, defend, and hold harmless LitmonCloud and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

  • Your breach of these Terms
  • Your use of our services
  • Any content or materials you provide to us
  • Your violation of any law or the rights of any third party

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in the United States.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.
